Effective Date: October 30, 2026 · Last Updated: October 30, 2026
These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and AOIA (“we,” “us,” or “our”), governing your access to and use of the AOIA platform available at aoia.ca and all associated services, features, content, and applications (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Disclaimer, which are incorporated herein by reference. These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
2. Description of Service
2.1 What AOIA Does
AOIA is a business intelligence platform designed to help Quebec-based companies identify, evaluate, and prioritize public procurement opportunities (tenders). The Service includes:
- Automated Tender Monitoring: Daily retrieval and indexing of active tenders from the SEAO (Système Électronique d’Appels d’Offres) and other government open-data sources.
- AI-Assisted Onboarding: A conversational interface powered by artificial intelligence that helps you build a structured company profile.
- Compatibility Scoring: An automated algorithm that evaluates each tender against your company profile and produces a numerical compatibility score.
- Dashboard and Analytics: Visualization tools for tracking tender pipelines, analyzing market trends, and managing business development activities.
- Data Management Tools: Features for tracking KPIs, invoices, leads, and other business data (stored locally in your browser).
2.2 What AOIA Does Not Do
The Service does not:
- Submit bids or tenders on your behalf
- Guarantee the accuracy, completeness, or timeliness of tender data
- Provide legal, financial, tax, or professional consulting advice
- Replace your obligation to review official tender documents on the SEAO website
- Guarantee that you will win any contract or procurement opportunity
- Verify the accuracy of information you provide in your company profile
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Be authorized to act on behalf of the business entity whose profile you create
- Not be prohibited from using the Service under any applicable law
By using the Service, you represent and warrant that you meet all eligibility requirements. If you are using the Service on behalf of a legal entity (corporation, partnership, etc.), you represent that you have authority to bind that entity to these Terms.

- Immediately notifying us of any unauthorized use of your account
- Ensuring that your account information remains accurate and up to date
We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.
4.3 One Account Per Company
Each account is intended for a single business entity. Creating multiple accounts for the same company to manipulate scoring or bypass limitations is prohibited.
5. Acceptable Use
5.1 Permitted Uses
You may use the Service solely for lawful business purposes related to identifying and evaluating public procurement opportunities.

You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service or its scoring algorithms
- Circumvent, disable, or interfere with any security features of the Service

6. Intellectual Property
6.1 Our Intellectual Property
The Service, including but not limited to its design, layout, look and feel, text, graphics, logos, icons, images, software, source code, scoring algorithms, and all other content and materials (collectively, “AOIA Content”), is the exclusive property of AOIA and is protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws. The AOIA name, logo (“AO” mark), and all related names, logos, product and service names, designs, and slogans are trademarks of AOIA.
6.2 Your Content
You retain ownership of all data and content you provide to the Service (“Your Content”), including your company profile information, uploaded documents, and chat messages. By providing Your Content, you grant us a limited, non-exclusive, worldwide license to use, process, store, and display Your Content solely for the purpose of providing and improving the Service.
6.3 Tender Data
Tender data sourced from the SEAO and Données Québec is public government data and is not owned by AOIA. Our value-added processing, scoring, and presentation of this data constitutes AOIA Content and is protected accordingly.
6.4 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service (“Feedback”), you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.
7. AI-Generated Content and Automated Scoring
7.1 Nature of AI Content
The Service uses artificial intelligence (specifically, Anthropic’s Claude language model) to assist with onboarding and profile creation. AI-generated responses during onboarding are provided for convenience and to facilitate data extraction. They may contain errors, inaccuracies, or misinterpretations.
7.2 Scoring Algorithm
Tender compatibility scores are generated by an automated algorithm based on the data in your company profile and publicly available tender information. Scores are:
- Informational only — they do not constitute advice or recommendations
- Not guarantees — a high score does not mean you will or should win a tender
- Dependent on your data — inaccurate or incomplete profile data will produce inaccurate scores
- Subject to change — algorithm updates may change scores without notice
7.3 Your Responsibility
You are solely responsible for verifying all information, reviewing official tender documents on the SEAO website, and making your own independent business decisions regarding whether to bid on any tender. You must not rely solely on AOIA scores or AI-generated content when making procurement decisions.
8. Fees and Payment
8.1 Current Pricing
AOIA is currently offered at no charge during its initial launch period. We reserve the right to introduce fees, subscription plans, or premium features at any time, with at least 30 days’ advance notice to existing users.
8.2 Future Paid Features
If we introduce paid features, we will clearly communicate the pricing, payment terms, and billing cycles before you are charged. You will have the option to continue using free features or to subscribe to paid plans. No charges will be applied without your explicit consent.
9. Data Accuracy and Limitations
9.1 Tender Data
We make reasonable efforts to retrieve and display accurate tender data from the SEAO and other government sources. However, we do not guarantee that:
- All active tenders are captured by our system
- Tender details (dates, amounts, categories) are free of errors
- Tender data is updated in real time (our system syncs daily)
- Amendments, addenda, or cancellations are reflected immediately
9.2 Official Sources
The SEAO website (seao.ca) is the sole authoritative source for tender information. You must always consult the official SEAO listing before taking any action regarding a tender. AOIA is a convenience tool and does not replace official government procurement channels.
10. Service Availability
10.1 Uptime
We strive to provide reliable access to the Service but do not guarantee uninterrupted, error-free, or secure operation. The Service may be temporarily unavailable due to:
- Scheduled or unscheduled maintenance
- Software updates and deployments
- Third-party service outages (Supabase, Vercel, SEAO API, Anthropic)
- Network interruptions or infrastructure issues
- Force majeure events
10.2 Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of significant changes.
11. Limitation of Liability
11.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
11.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AOIA AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, business opportunities, or contracts
- Loss of data or data corruption
- Business interruption
- Damages arising from reliance on scoring results or AI-generated content
- Damages arising from missed tenders, deadlines, or procurement opportunities
- Damages arising from inaccurate, incomplete, or delayed tender data
- Damages arising from unauthorized access to or alteration of your data
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
11.3 Essential Purpose
THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).
12. Indemnification
You agree to indemnify, defend, and hold harmless AOIA and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of or access to the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content or data you submit through the Service
- Your bidding decisions or procurement activities, regardless of any scoring or information provided by the Service
13. Termination
13.1 By You
You may terminate your account at any time by deleting your account through the Settings page. Upon deletion, your Company Profile, match scores, and associated data will be permanently removed from our database. Data stored locally in your browser will remain until you clear it.
13.2 By Us
We may suspend or terminate your account and access to the Service, with or without notice, if:
- You violate these Terms or any applicable law
- Your use of the Service poses a security risk to us or other users
- We are required to do so by law or legal process
- We discontinue the Service
13.3 Effect of Termination
Upon termination, your right to use the Service immediately ceases. Sections that by their nature should survive termination (including but not limited to Sections 6, 11, 12, 14, and 15) will survive.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law provisions.
14.2 Jurisdiction
Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec, judicial district of Montréal. You waive any objection to such jurisdiction or venue.
14.3 Amicable Resolution
Before initiating any formal legal proceeding, you agree to first contact us and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiation for a period of at least thirty (30) days.
15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and AOIA regarding the Service, superseding all prior agreements, understandings, and communications.
15.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
15.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.
15.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
15.5 Notices
We may provide notices to you via the email address associated with your account or through the Service. You may provide notices to us at the contact information in Section 16.
15.6 Language
These Terms are available in both English and French. In the event of any discrepancy between the two versions, the French version shall prevail, in accordance with Quebec language legislation.
15.7 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms to the extent that such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet disruptions, power outages, or third-party service failures.
